I think you have a MIDI driver which is no 32 bit compliant. To find
out which, first change all entries "MidiIn..." and
"MidiOut..." in
the section [Logic] of the file C:WindowsWin.ini from "...=1" to
"...=0". Now Logic should start ok. Then re-enable all MIDI
drivers
one by one.

Windows 98 has this bug fixed.
